Position Summary
The Corporate Counsel will be a highly qualified, team-oriented transactional attorney who will provide contracts drafting, negotiation, as well as general commercial advice and regulatory compliance support, particularly with regard to partner and vendor relationships. We are looking for a high performer who is adaptable, loves to learn and operates with a high degree of integrity. Success at Big Switch Networks requires a roll-up your sleeves, “get it done” attitude, lots of initiative, and the ability to work in a fast-paced environment with lots of change and ambiguity. This position is an Individual Contributor and reports to the Head of Legal Affairs.
Responsibilities
- Support Big Switch Networks' U.S. Sales, Channel, Partner and Marketing organizations in structuring commercial transactions, along with reviewing, drafting and negotiating a range of commercial agreements such as distribution agreements, statements of work, service agreements, license agreements, contractor agreements, and confidentiality agreements.
- Advise management and business teams on aspects of law in commercial transactions and related matters, including data protection and privacy.
- Assist in optimizing contract templates, drafting global corporate policies and processes, ensuring regulatory requirements are adhered to and developing training materials on relevant topics such as the contracting process, data privacy and legal compliance in the sales and contracting processes.
- Support the legal department’s efforts in developing, drafting, and negotiating all aspects of vendor contracts, and developing and implementing improvements for vendor contracting process.
- Summarize technical & non-technical information to key stakeholders and executives to facilitate an understanding of contract scope, nuances, deviations, key terms, and acceptance of contract.
- Supervise trademark application process and ensure compliance with trademark usage guidelines.
- Ensure that commercial transactions are conducted in compliance with applicable export laws.
- Assist in defining and developing corporate policies, procedures and programs along with maintaining legal records and templates across corporate databases.

Education / Experience:
- JD (Member of California Bar)
- BS/BA Degree (required)
- 1-2 years of experience in technology industry (software preferred)
- Knowledge of Word, Excel, and PowerPoint (required)
- Experience with Salesforce (preferred)
